DOMAIN SALE AGREEMENT

This Agreement applies exclusively to business customers (B2B). All references to “Buyer”, “you”, or “your” refer to a business entity or its authorized representative acting in a commercial capacity. This Agreement does not apply to individual consumers, and consumer protection laws do not apply to Domain purchases.

This Domain Sale Agreement (“Agreement”) is a legally binding contract between Mubdie LLC, a Wyoming limited liability company (“Seller”, “we”, “us”, or “our”), and the Buyer (“Buyer”, “you”, or “your”) regarding the sale and transfer of a domain name (“Domain”).

By purchasing a Domain through mubdie.net, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

 

1. Definitions

1.1. “Domain”

Refers to the specific domain name purchased by the Buyer.

1.2. “Seller”

Refers to Mubdie LLC, the legal owner of the Domain prior to transfer.

1.3. “Buyer”

“Buyer” refers to a business entity, or an authorized representative acting on behalf of such entity, purchasing the Domain for commercial purposes.

1.4. “Registrar”

Refers to the domain registrar used for transfer, typically Namecheap.

1.5. “Transfer”

Refers to the process of moving the Domain from the Seller’s registrar account to the Buyer’s registrar account.

1.6. “Authority”

By purchasing a Domain, you represent and warrant that you are authorized to act on behalf of the business entity you represent and to enter into binding commercial agreements.

 

 

2. Nature of Sale

2.1. Digital Asset

The Domain is a digital asset. No physical goods are delivered.

2.2. As‑Is Sale

The Domain is sold “as‑is”, with no warranties regarding: 

2.2.1. Traffic 

2.2.2. SEO performance 

2.2.3. Revenue 

2.2.4. Trademark availability 

2.2.5. Business suitability

2.3. Buyer Responsibility

The Buyer is solely responsible for verifying: 

2.3.1. Spelling 

2.3.2. Suitability 

2.3.3. Legal availability 

2.3.4. Trademark conflicts 

2.3.5. Business relevance

 

3. Payment Terms

3.1. Full Upfront Payment

The Buyer must pay the full purchase price before the Domain transfer begins.

3.2. Accepted Payment Methods

Payments may be made via: 

3.2.1. PayPal 3.2.2. Stripe (when activated) 

3.2.3. 2Checkout (if implemented) 

3.2.4. Bank transfer (after invoice issuance)

3.3. No Partial Payments

Partial payments or installment plans are not accepted.

3.4. No Refunds

All payments are final and non‑refundable, as detailed in Section 7.

 

4. Transfer Process

4.1. Registrar Used

All transfers are executed via Namecheap, unless otherwise agreed in writing.

4.2. Buyer Requirements

The Buyer must: 

4.2.1. Provide a valid Namecheap username or registrar details 

4.2.2. Ensure their registrar account is active 

4.2.3. Complete any verification steps required by the registrar

4.3. Transfer Timeline

The Seller will initiate the transfer within: 

4.3.1. 24–72 hours after payment confirmation 

4.3.2. Excluding weekends and holidays

4.4. Completion of Transfer

The transfer is considered complete when: 

4.4.1. The Domain appears in the Buyer’s registrar account 

4.4.2. The registrar confirms successful transfer

 

5. Ownership and Rights

5.1. Seller Ownership

The Seller warrants that it is the lawful owner of the Domain prior to sale.

5.2. Transfer of Rights

Upon successful transfer: 

5.2.1. All rights to the Domain pass to the Buyer 

5.2.2. The Seller relinquishes all control and ownership

5.3. No Trademark Guarantee

The Seller does not guarantee that the Domain is free of trademark conflicts.

 

6. No Reservation Without Payment

6.1. No Holds

Domains are not reserved for any Buyer without full payment.

6.2. First‑Come, First‑Served

Domains remain available for purchase until payment is confirmed.

 

7. Refund Policy

7.1. Final Sale

All Domain sales are final.

7.2. No Refund After Transfer Initiation

Once the Seller initiates the transfer, no refund will be issued under any circumstances.

7.3. No Refund After Completion

After the Domain appears in the Buyer’s registrar account, the sale is irreversible.

 

8. Buyer Responsibilities After Transfer

8.1. Renewal Fees

The Buyer is responsible for all future renewal fees.

8.2. DNS Configuration

The Buyer is responsible for DNS setup and configuration.

8.3. Legal Compliance

The Buyer must ensure that their use of the Domain complies with: 

8.3.1. Local laws 

8.3.2. Trademark regulations 

8.3.3. Registrar policies

 

9. Limitation of Liability

9.1. No Liability for Buyer Use

The Seller is not liable for: 

9.1.1. How the Buyer uses the Domain 

9.1.2. Business outcomes 

9.1.3. SEO performance 

9.1.4. Legal disputes arising from Buyer usage

9.2. Maximum Liability

The Seller’s total liability is limited to the purchase price paid.

 

10. Dispute Resolution

10.1. Governing Law

This Agreement is governed by the laws of the State of Wyoming, USA.

10.2. Venue

Any disputes shall be resolved exclusively in Wyoming courts.

 

11. Amendments

11.1. Updates

The Seller may update this Agreement at any time. The updated version will be posted on mubdie.net.

11.2. Continued Use

Purchasing a Domain after updates constitutes acceptance of the revised Agreement.
