These User Generated Content Terms and Conditions (the “UGC Terms”) govern Mubdie’s use of content you create and post publicly on social media or otherwise provide to Mubdie for possible use in Mubdie marketing, advertising, promotional materials, websites, product listings, or other channels (collectively, “Content”). By replying to our request to use your Content or otherwise granting us permission, you agree to these UGC Terms.

  1. Eligibility and acceptance
  • You confirm you are at least 18 years old, have the legal capacity to enter these UGC Terms, and are authorised to grant the rights and make the warranties below.
  • To accept, reply to the message or comment we sent (including the hashtag or short affirmative reply requested) or follow the acceptance procedure in our message. Mubdie may rely on that affirmative response as your consent.
  1. Representations and warranties by you
    You represent and warrant that, to the best of your knowledge and belief:
  • the Content is your original work or you have obtained all rights, licences, consents and permissions required to grant the rights in Section 3;
  • the Content does not infringe any third‑party rights (including intellectual property, privacy, publicity or moral rights) or any law;
  • all persons depicted in the Content (including children) have given any required consent and that you have the right to authorise Mubdie to use their image or likeness;
  • the Content does not contain illegal, obscene, defamatory, discriminatory or otherwise unlawful material; and
  • your grant of rights and Mubdie’s use of the Content in accordance with these UGC Terms will not entitle any third party to payment or other consideration.
  1. Licence grant to Mubdie (scope of use)
    Subject to your representations and warranties and to these UGC Terms, you grant Mubdie Ltd a non‑exclusive, worldwide, royalty‑free, transferable and sub‑licensable licence to use, reproduce, copy, adapt, modify, publish, distribute, display and otherwise exploit the Content in any media now known or later developed for any lawful business purpose, including marketing, advertising and promotional activities. This licence includes the right to use your name, social media handle, city (or other short location), and any short caption you provided in connection with the Content.

  2. Moral rights and attribution

  • To the fullest extent permitted by law you waive (or agree to assert un‑enforceability of) any moral rights in the Content that would prevent Mubdie from using the Content as licensed.
  • Mubdie has no obligation to attribute Content to you, but where Mubdie elects to provide an attribution it will do so in a reasonable manner (for example, by reference to your social handle or name as you provided it).
  1. No requirement to use; revocation limited
  • Mubdie is not required to use any Content and may decline, edit, remove or stop using Content at any time in its discretion.
  • Except where required by applicable law, your acceptance of these UGC Terms is generally irrevocable for Content already used by Mubdie in reliance on your permission; if you wish to request removal of Content from future use, send a removal request to legal@mubdie.net and we will consider commercial‑reasonable steps to remove the Content from future promotional placements. Removal requests do not obligate Mubdie to delete Content from archival systems, backups, or third‑party channels where Mubdie cannot effect removal.
  1. Personal data; privacy notice
  • You consent to Mubdie collecting and processing any personal data included in the Content for the purposes described in these UGC Terms and in our Privacy Notice. Our processing will be subject to Mubdie’s Privacy Notice and, where applicable, the Data Processing Addendum. Do not provide any personal data for which you do not have lawful consent.
  • If the Content includes information about another person, you confirm you have obtained that person’s consent to share the information and to Mubdie’s processing under these terms.
  1. Edits and modifications
    Mubdie may crop, reformat, translate, add overlays (e.g., logos or text), colour‑correct, or otherwise edit the Content for size, format or messaging needs. Mubdie will not attribute edits to you as new works.

  2. Indemnity and defence
    You will indemnify and hold harmless Mubdie Ltd and its officers, directors, employees, agents, successors and permitted assigns from and against all losses, liabilities, claims, damages and expenses (including reasonable legal fees) arising out of or resulting from any breach of your warranties in Section 2 or any claim by a third party related to the Content you provided.

  3. Limitation of liability
    To the fullest extent permitted by law, Mubdie’s liability relating to these UGC Terms or Mubdie’s use of the Content is limited as set out in Mubdie’s Terms of Service. In no event will Mubdie be liable for indirect, incidental, consequential, special or punitive damages in connection with these UGC Terms.

  4. Content taken down by third parties or platform changes
    If the social network or a third party removes your Content, or platform terms change, Mubdie’s right to use the Content will cease prospectively to the extent Mubdie no longer has a lawful right to access it; Mubdie may, at its option, continue to use copies previously lawfully obtained.

  5. Term and termination
    These UGC Terms survive for the duration of Mubdie’s exploitation of the Content and for any period required by applicable law. Mubdie may terminate these UGC Terms for future uses at any time by written notice; termination does not affect any uses already made under the licence granted.

  6. Governing law and dispute resolution
    These UGC Terms are governed by the laws of England and Wales and the parties submit to the non‑exclusive jurisdiction of the English courts. If you reside in a jurisdiction that gives you stronger mandatory consumer rights, those statutory rights remain unaffected.

  7. Miscellaneous

  • Entire agreement: these UGC Terms (and any message from Mubdie to which you replied) are the complete agreement between you and Mubdie on the subject of the Content and supersede prior communications concerning the same Content.
  • Assignment: Mubdie may assign or transfer its rights under these UGC Terms, including to affiliates, acquirers or licensees.
  • Amendments: Mubdie may update these UGC Terms; material changes will be notified; continued acceptance of permissions after notice constitutes acceptance of amended terms.
  1. How to contact us and removal requests
    For questions, removal requests or legal notices concerning Content use, contact legal@mubdie.net. Provide (a) a copy or link to the Content, (b) the account/handle that made the submission, (c) the date you posted it, and (d) the specific action you request. We will acknowledge receipt and respond within a commercially reasonable time.

By replying to Mubdie’s message or otherwise granting permission to use your Content you confirm you have read, understood and agree to be bound by these UGC Terms.
